Terms of Service

1. Provider and scope

Market Eagle (the “Service”) is a product operated by BirdFlai UG (haftungsbeschränkt), Tarpenbekstraße 13, 22848 Norderstedt, Germany (“BirdFlai”, “we”, “us”). These Terms govern your use of the Service (web dashboard, MCP server, and related features).

If you use the Service on behalf of an entity, you confirm you are authorized to bind it; “you” refers to that entity.

2. Service description

Market Eagle is a competitive intelligence platform that enables AI agents to research competitors and store structured data. The Service includes a web dashboard, an MCP server for AI/LLM integration, team/workspace features, and related tools.

3. Accounts, workspaces, seats

You must create an account to use the Service. You are responsible for maintaining the confidentiality of credentials and for all activities under your account and within your workspaces. Each user must use their own account access; credential sharing is not permitted.

4. Acceptable use

You must not:

  • use the Service unlawfully;
  • attempt to access other users' accounts, workspaces, or data;
  • interfere with the security or operation of the Service;
  • circumvent technical measures intended to protect the Service;
  • upload or process content that infringes third-party rights; or
  • use automated tools to scrape or extract data from the Service beyond intended use and integrations.

5. Third-party AI/LLM tools and sources

The Service may be used with third-party AI/LLM tools (e.g., ChatGPT, Claude) not operated by BirdFlai. Your use of third-party tools is governed by their terms and policies.

You are responsible for selecting sources and ensuring you have the necessary rights and permissions to access and use such sources. BirdFlai does not control and is not responsible for third-party sources or third-party AI/LLM outputs.

6. Customer data; rights and license

You retain all rights to data and content you submit to or generate within the Service (“Customer Data”).

You grant BirdFlai a non-exclusive, worldwide, royalty-free right to host, reproduce, process, transmit, and display Customer Data only to provide, secure, maintain, and improve the Service, to provide support, and to comply with legal obligations.

You are responsible for the legality of Customer Data and for having all necessary rights and permissions to provide it and to process it via the Service.

7. Subscriptions, plans, renewal, cancellation

The Service is offered under free and paid plans with plan limits (e.g., competitors, analyses, dimensions, users/seats). Current plan details and pricing are shown at checkout or in an order form.

Paid subscriptions are billed in advance for the selected billing period (monthly or annual) and renew automatically for the same period unless cancelled before the end of the current billing period. Cancellation takes effect at the end of the then-current billing period.

8. Billing, payment (Stripe), taxes

Payments are processed by Stripe as our payment processor. Prices and currencies are shown at checkout.

Where applicable, taxes (including VAT) are added. If you purchase as a business customer and provide a valid VAT ID, VAT may be handled according to applicable rules (including reverse charge where legally available).

9. Consumer right of withdrawal

If you are a consumer in the EU/EEA, you generally have a statutory 14-day right of withdrawal for distance contracts.

For digital services/content, this right may expire early if you expressly request immediate performance during the withdrawal period and acknowledge that you thereby lose your right of withdrawal once performance begins. If you implement such an “immediate access” flow, the relevant consent/acknowledgement must be obtained at checkout.

10. Suspension and termination

You may stop using the Service and cancel at any time effective at the end of the billing period.

We may suspend or terminate access if you materially breach these Terms, for security reasons, or where required by law. Where reasonable, we will provide notice and an opportunity to cure.

11. Data deletion

You can request deletion of your account/workspace data. Details on retention and deletion (including backups) are described in our Privacy Policy.

12. Data Processing Agreement (DPA/AVV) — business customers

If you are a business customer and BirdFlai processes personal data on your behalf as a processor, a Data Processing Agreement (DPA/AVV) is available on request and will form part of the agreement. We will provide it for signature before or at the latest upon start of the relevant processing.

13. Liability

We are liable without limitation for intent and gross negligence, and for damages resulting from injury to life, body, or health.

In cases of slight negligence, we are liable only for breach of essential contractual obligations (cardinal duties) and limited to the foreseeable, typically occurring damage.

Mandatory statutory liability remains unaffected.

14. Governing law and jurisdiction

German law applies.

If you are a consumer, mandatory consumer protection laws of your country of residence remain unaffected and disputes may be brought in the courts determined by applicable law.

If you are a merchant (Kaufmann), a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for disputes arising out of or in connection with these Terms shall be our registered office, to the extent permitted by law.

15. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes by email or in-product notice. Continued use after the effective date constitutes acceptance.
